NFPA Webinar: Legal Entity Formation and Special Purpose Vehicles

Presented by: Pia Angelikis, JD, VP of Government Relations and Legal Research, Cogency Global Inc.

This seminar is geared toward legal professionals and will provide an overview of entity formation and the role of the special purpose vehicle and independent director and/or springing member. The presentation will focus on formation and registration in Delaware. It covers important post-formation matters that should be addressed, including an overview of facts to consider when determining what constitutes doing business in foreign jurisdictions where the entity may hold property. We will also review how Delaware’s “Certificate of Validation” can be used to remedy defective corporate acts that can hinder a closing.
